Important Details.

Old Glory Holding Company, the Delaware bank holding company that owns Old Glory Bank, is inviting accredited investors to consider purchasing Class A Common Stock, the most senior stock that is owned by current investors. The minimum purchase amount is $1776 ($1,776.00). 

These purchased shares of Class A Common Stock will be “restricted,” which means they cannot be resold until registered unless there is an available exemption to registration. Potential investors should consider this a long-term investment. The first ability to sell these purchased shares will not likely occur until they are registered following the public offering by Old Glory Holding Company. That may not happen until at least 2028, or maybe even later. 

Old Glory Bank has one of the industry’s strongest loan-to-asset ratios (about 4%), has no exposure to commercial real estate, and has one of the industry’s highest liquidity ratios (greater than 98%). We are primarily undertaking this public private-placement to satisfy regulatory leverage ratios related to deposit growth..

This Private Placement of Class A Shares in Old Glory Holding Company is exempt from registration pursuant to 17 CFR § 230.506(c), so every potential investor must be “accredited.” Generally, an accredited investor is an individual with annual income in excess of $200,000 for the prior 2 years or joint income with a spouse in excess of $300,000 for those years. Regardless of annual income, an individual is also accredited if having a net worth in excess of $1 million (excluding principal residence). There are also rules for trusts and other entities. See 17 CFR § 230.501(a)
